Corporate Transition & Ownership Notice
Effective October 1, 2025, all assets of the former sole proprietorship known as Khabir’s Clinic—including intellectual property, client files, and goodwill—were sold and transferred as follows:
Consulting and educational operations → Khabir’s Health Consulting, LLC, a Wyoming limited liability company (Filing ID #2025-001767769)
All intellectual property, domains, and digital content → Khabir’s Intellectual Property, LLC (Wyoming)
The former Khabir’s Clinic sole proprietorship was fully dissolved and no longer exists after October 1, 2025.
All current activities operate exclusively under these registered Limited Liability Companies.
This transition ensures continued compliance with applicable state and federal laws.
Website Ownership
KhabirsClinic.com is owned by Khabir’s Intellectual Property, LLC and operated under license by Khabir’s Health Consulting, LLC.
Business Location & Jurisdiction
Khabir’s Health Consulting, LLC (“KHC”) is domiciled in Wyoming and conducts all operations online.
KHC maintains no physical clinic, medical facility, or public-facing healthcare location in any U.S. state.
All services are administered remotely nationwide and internationally.
All contracts and agreements are executed under Wyoming law.
In-Person Services
As of October 1, 2025, KHC no longer provides or schedules any in-person appointments in any U.S. state.
Operational Structure
KHC maintains no leased office space or staff in Texas or California.
All administrative and client-support functions are performed remotely outside of Texas.

Use of the Term “Clinic”
The term “Clinic” is used solely in its educational and traditional sense:
“A meeting or session for instruction or remedial work in a particular activity.”
It does not imply a licensed medical clinic, healthcare facility, or medical practice.
Scope of Services
KHC provides educational and informational services only, including:
Traditional herbal and Ayurvedic wellness education
Nutritional and lifestyle guidance
Instruction in historical and traditional natural-health practices
All consultations are conducted remotely (via Zoom, phone, or email).
Khabir Southwick is not a licensed medical doctor, physician, or mental-health professional in any jurisdiction.
These services are not a substitute for professional medical advice.
Relationship to Product Company
KHC does not manufacture, sell, or distribute herbal products.
All products mentioned or discussed during consultations are sold exclusively by Khabir’s Herbal Products, LLC (“KHP”), a Texas-registered limited liability company operating independently under its own FDA/DSHEA compliance.
KHP handles all product invoicing, order processing, and customer payments.
KHC and KHP maintain separate banking, accounting, and invoicing systems.
Payments for consulting services are processed only by KHC.
Payments for products are processed only by KHP.
KHC receives no commission, percentage, or revenue share from product sales made by consulting clients, and KHP receives no compensation from consulting services.
The two entities operate independently.

Severability: If any provision is held invalid, the remainder shall remain in full force and effect.
